Terms of Service

1. Acceptance of Terms

By accessing or using BeforeMerge ("Service"), operated by Chykalophia LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including users who access the Service through our website at beforemerge.dev, our API, or any associated integrations.

2. Description of Service

BeforeMerge is an AI-native code review knowledge base that helps development teams capture, organize, and enforce code review standards. The Service includes, but is not limited to:

  • A SaaS platform for managing code review rules and knowledge bases
  • GitHub integration for automated pull request scanning and review
  • An API for programmatic access to the platform
  • Open-source review rule packages published under the MIT license

3. Account Terms

To use certain features of the Service, you must create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security of your account credentials and accept responsibility for all activities that occur under your account
  • Immediately notify us of any unauthorized use of your account or any other breach of security

You must be at least 16 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 16 years of age.

4. Acceptable Use

You agree not to use the Service in any manner that violates applicable laws, regulations, or these Terms. For detailed restrictions, please refer to our Acceptable Use Policy, which is incorporated by reference into these Terms.

5. API Usage

If you access the Service through our API, the following additional terms apply:

  • You must authenticate all API requests using valid credentials issued to your account
  • You may not share, transfer, or sell your API credentials to any third party
  • We may impose rate limits, usage quotas, or other restrictions on API access at our discretion
  • You may not use the API to build a competing product or service
  • We reserve the right to modify, suspend, or discontinue the API at any time with reasonable notice
  • Excessive or abusive API usage may result in temporary or permanent suspension of access

6. Intellectual Property

Open-Source Components

Certain components of BeforeMerge, including our public code review rule packages available at github.com/BeforeMerge/beforemerge-skills, are released under the MIT license. Your use of these open-source components is governed by the MIT license terms.

Proprietary Platform

The BeforeMerge SaaS platform, including but not limited to the web application, API, proprietary algorithms, user interface, design, documentation, and all related intellectual property, is the exclusive property of Chykalophia LLC. All rights not expressly granted in these Terms are reserved.

You may not copy, modify, distribute, sell, or lease any part of the proprietary Service, nor may you reverse engineer or attempt to extract the source code of the proprietary platform.

7. User Content

You retain ownership of any content you submit, post, or display through the Service ("User Content"), including code review rules, configurations, and repository data.

By submitting User Content, you grant us a limited, non-exclusive, worldwide license to use, process, and display your User Content solely for the purpose of providing and improving the Service. We will not sell your User Content to third parties.

You are responsible for ensuring that your User Content does not violate any applicable laws, third-party rights, or these Terms.

8. Payment Terms

Certain features of the Service may require a paid subscription. When paid plans are available:

  • Fees will be clearly communicated before you are charged
  • Subscriptions will be billed on a recurring basis (monthly or annually) as selected at the time of purchase
  • All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy
  • We reserve the right to change our pricing with at least 30 days advance notice
  • Failure to pay may result in suspension or termination of your access to paid features

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms or the Acceptable Use Policy
  • Nonpayment of applicable fees
  • Conduct that we determine is harmful to other users, us, or third parties
  • Extended periods of inactivity

You may terminate your account at any time by contacting us at hello@beforemerge.dev. Upon termination, your right to use the Service will immediately cease. We may, at our discretion, provide you the ability to export your data before account deletion.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. BeforeMerge provides code review assistance and should not be relied upon as the sole mechanism for ensuring code quality or security. You are responsible for independently verifying any suggestions or outputs provided by the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHYKALOPHIA LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Chykalophia LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of another party.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Illinois, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved in the state or federal courts located in Cook County, Illinois.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.
